Abstract

This study is devoted to a comprehensive analysis of the legal mechanisms of limited liability company (LLC) reorganization in the context of the Anglo-Saxon and Romano-Germanic legal systems. The relevance of the research stems from the insufficient development of theoretical and legal foundations of reorganization in the national legislation of the Republic of Uzbekistan and the need to implement advanced foreign experience. The study identifies systemic problems of legal regulation of reorganization procedures, including terminological uncertainty, gaps in the protection of creditors’ and minority shareholders’ rights, as well as deficiencies in state control mechanisms. A critical analysis is conducted of the legislation of Uzbekistan, the United Kingdom, Germany, Latvia, and the People’s Republic of China, with the identification of optimal legal constructs. Conceptual directions are proposed for improving national legislation with regard to procedural safeguards, criteria of admissibility of reorganization, and mechanisms of judicial oversight.
